Terms of Service

Please read these terms carefully before using the Zupra platform.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Zupra ("we," "us," or "our") regarding your access to and use of the Zupra platform, including our website, smart contracts, and related services (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
Important Notice:
Zupra is currently in development. The demo platform showcases intended functionality but does not involve real transactions or custody of funds. These Terms will apply in full upon official launch.
2. Platform Description
Zupra is a decentralized, peer-to-peer marketplace built on the Solana blockchain that enables users to achieve transaction privacy through a trustless mixing service. The Platform facilitates connections between:
- Request Creators: Users who seek transaction privacy and are willing to pay a service fee
- Liquidity Providers: Users who accept mixing requests and earn fees by providing liquidity
All transactions are executed through Solana smart contracts utilizing Program-Derived Addresses (PDAs) to create middleware wallets. Zupra does not custody funds, control transactions, or act as an intermediary. We provide only the technical infrastructure for peer-to-peer interactions.
3. Eligibility & Restrictions
To use the Platform, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into binding contracts
- Not be located in, or a resident of, any jurisdiction where the Platform's services are prohibited by law
- Not be subject to any sanctions administered by any government or international organization
- Comply with all applicable laws and regulations in your jurisdiction
Prohibited Uses:
You may not use the Platform for any illegal activities, including but not limited to money laundering, terrorist financing, fraud, or evasion of lawful obligations. Zupra is designed for legitimate privacy needs and legal compliance.
4. Non-Custodial Service
Zupra is a non-custodial platform. We do not:
- Hold, custody, or control your cryptocurrency assets at any time
- Have access to your private keys or wallet credentials
- Execute transactions on your behalf without your explicit approval
- Guarantee the availability or solvency of any counterparty
You retain full control and responsibility for your wallet and assets. Transactions are executed through smart contracts on the Solana blockchain. Once initiated, transactions are irreversible and cannot be canceled by Zupra or any third party.
5. User Responsibilities
You are solely responsible for:
- Maintaining the security of your wallet and private keys
- All transactions initiated from your wallet
- Ensuring your wallet software is secure and up-to-date
- Protecting your wallet credentials from unauthorized access
Zupra cannot recover lost private keys or reverse unauthorized transactions.
You agree to:
- Use the Platform only for lawful purposes
- Comply with all applicable local, state, national, and international laws
- Not use the Platform to facilitate illegal activities
- Provide accurate information when required
- Report any suspicious activity to appropriate authorities
Before initiating any transaction, you must:
- Verify all transaction details including amounts, fees, and addresses
- Ensure you have sufficient funds including network fees
- Understand that blockchain transactions are irreversible
- Accept the risks associated with smart contract interactions
6. Risks & Disclaimers
Smart Contract Risks
Smart contracts, while audited and tested, may contain vulnerabilities or bugs. You acknowledge and accept the risk of potential smart contract failures, exploits, or unexpected behavior. Zupra is not liable for losses resulting from smart contract vulnerabilities.
Blockchain Risks
The Solana blockchain may experience downtime, congestion, forks, or other technical issues. Zupra has no control over the Solana network and is not responsible for blockchain-related delays, failures, or losses.
Market Risks
Cryptocurrency values are highly volatile. The value of SOL may change significantly between transaction initiation and completion. You accept all market risk associated with cryptocurrency holdings and transactions.
Counterparty Risks
While smart contracts enforce transaction rules, counterparties may behave unpredictably. You accept the risk that liquidity providers may fail to fulfill obligations, though funds remain protected in escrow.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUPRA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
This limitation applies to all claims arising out of or related to:
- Your use or inability to use the Platform
- Smart contract failures or vulnerabilities
- Unauthorized access to your wallet or assets
- Errors, mistakes, or inaccuracies in the Platform
- Third-party conduct or content on the Platform
8. No Financial Advice
The Platform, its content, and any services provided do not constitute financial, investment, trading, or legal advice. All content is provided for informational purposes only. You should consult appropriate professional advisors before making financial decisions.
Zupra does not recommend or endorse any particular transaction, strategy, or approach. All decisions to use the Platform are made at your sole discretion and risk.
9. Privacy & Data Collection
Zupra is committed to privacy. We collect minimal data necessary for Platform operation. Our Privacy Policy, available at zupra.fun/privacy-policy, describes our data practices in detail.
As a decentralized platform operating on public blockchain infrastructure:
- All blockchain transactions are publicly visible and permanent
- Wallet addresses and transaction amounts are on-chain and cannot be deleted
- We do not collect personal identifying information unless you voluntarily provide it
10. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, code, and software, is the property of Zupra or its licensors and is protected by copyright, trademark, and other intellectual property laws.
The Zupra smart contracts are open source and available under the MIT License. The web interface and associated branding materials remain proprietary to Zupra.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, through Platform notifications or email.
Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must discontinue use of the Platform.
12. Termination
You may discontinue use of the Platform at any time. We reserve the right to restrict or terminate access to the Platform for any user who violates these Terms or engages in conduct that we determine, in our sole discretion, to be harmful to the Platform, other users, or our interests.
Due to the decentralized nature of the Platform, termination of access to the web interface does not prevent direct interaction with the smart contracts via other means.
13. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or use of the Platform shall be resolved through binding arbitration, except where prohibited by law.
